Natty Hatty Merch Center — Inventory Accuracy & Stock Rules

These rules apply to all suppliers (“Suppliers”) listing products in the Natty Hatty Merch Center and fulfilling orders for Organizations and Customers. By offering products through the Platform, Suppliers agree to these Inventory and Stock Rules.
1. Supplier Responsibility for Inventory Accuracy
Suppliers are fully and solely responsible for:
Maintaining accurate, real-time stock levels
Keeping all product inventory up-to-date
Marking items as unavailable when sold-out
Managing variants (sizes, colors, styles) accurately
Reflecting restock timelines correctly
Ensuring listings do not misrepresent available stock
Natty Hatty does not own, track, or manage Supplier inventory.
Any stock inaccuracies are the Supplier’s responsibility.
2. Oversold Product Rules
If a Supplier oversells a product due to inaccurate inventory:
The Supplier must:
Option 1 — Fulfill the order as promised
Even if inventory was incorrect, the Supplier must attempt to:
Reproduce the item
Restock quickly
Fulfill the order within the originally stated timeline
Option 2 — Provide a complete refund
If fulfillment is impossible, the Supplier must:
Provide a 100% refund to the Customer
Notify the Organization and Customer immediately
Update the listing to prevent further oversells
Optionally offer alternatives (ONLY if approved by the Customer)
Natty Hatty is
not responsible
for:
Oversells
Incorrect stock levels
Refunds due to stock discrepancies
Fulfilling any oversold orders
The Supplier is fully liable for all oversell outcomes.
3. Stock-Based Auto-Block Tools (Natty Hatty Functionality)
Natty Hatty provides inventory tools that allow Suppliers to:
Set stock limits
Automatically block further sales when stock is zero
Display “Sold Out” status
Track variant-level inventory
Update inventory instantly
Important:
Natty Hatty does not auto-cancel orders.
Natty Hatty only prevents future orders if the Supplier uses the tool correctly.
The Supplier remains fully responsible for:
Using the tools properly
Ensuring inventory rules are configured
Monitoring near-zero stock items
Preventing oversells through accurate data
4. Restock Expectations
When an item is out of stock or low-stock:
Suppliers must:
Update the listing restock date (if known)
Use the provided “Instructions/Notes” field to explain restock timelines
Notify Organizations proactively
Avoid vague or misleading restock statuses
Examples of acceptable restock notes:
“Restocking on Jan 12, 2026”
“Limited sizes available. Full restock expected next month.”
“This is a pre-order item. Production begins next week.”
Transparency is required to give Customers accurate expectations.
5. Data Syncing and Real-Time Updates
Natty Hatty is designed as a club-level, low-latency system, meaning:
Inventory updates sync almost instantly
Variant-level changes propagate to all connected Platforms
Stock changes appear immediately in the Customer App and transactional pages
Latency is extremely minimal
Inventory conflicts are rare but may occur due to Supplier delays or external systems
Suppliers are required to:
Enter changes directly into the Platform
Avoid relying on external inventory systems unless integrated
Verify stock levels after large updates or high-order periods
Natty Hatty is not liable for inventory failures caused by supplier-side delays.
6. Supplier Liability for Inventory Errors
If incorrect inventory leads to:
Customer complaints
Disputes
Chargebacks
Refunds
Negative reviews
Damaged customer relationships
The Supplier is fully responsible.
Natty Hatty may:
Pass chargeback fees to the Supplier
Charge administrative fees for dispute involvement
Suspend or remove Supplier access to the Merch Center
Hold payouts until issues are resolved
Suppliers must indemnify Natty Hatty against all inventory-related claims.
7. Communication Requirements
Suppliers must:
Respond to Organizations within 48 hours regarding stock or restock questions
Notify Organizations immediately if an item becomes unavailable
Provide accurate status updates for large orders (team bundles, seasonal orders, etc.)
Failure to communicate may result in Supplier penalties or suspension.
8. Enforcement
Natty Hatty may take action if a Supplier:
Repeatedly oversells items
Fails to update stock data
Provides misleading availability information
Ignores restock rules
Causes customer complaints or disputes
Has high refund or chargeback rates
Violates fulfillment timelines due to inventory issues
Actions may include:
Warning
Inventory freeze
Feature restrictions
Temporary suspension
Permanent termination from the Merch Center
